1. Introduction
These Terms and Conditions ("Agreement”) govern the relationship between Progress Learning Centre Ltd ("Progress Learning Centre”, "we”, "our”, "us”) and you, the independent tutor ("Tutor”, "you”, "your”), regarding the use of our online tutoring platform Progress Online ("Platform”).
By registering and providing tutoring services via Progress Online, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.
2. Independent Contractor Relationship
2.1 You acknowledge that you are not an employee, agent, or representative of Progress Learning Centre. You act as an independent contractor and are solely responsible for your tax obligations, insurance, and compliance with local employment or freelance laws.
2.2 Nothing in this Agreement shall create any partnership, joint venture, or employer-employee relationship between you and Progress Learning Centre.
3. Tutor Responsibilities
3.1 You are responsible for maintaining the quality and professionalism of your lessons and ensuring compliance with all relevant laws and safeguarding standards.
3.2 You must hold appropriate qualifications and experience for the subjects you teach. Progress Learning Centre reserves the right to verify your credentials at any time.
3.3 You must not share your account with, or allow access by, any other individual. Doing so will result in immediate termination of your account.
3.4 You agree to conduct all lessons, communications, and transactions solely through the Progress Online platform.
4. Rates and Payments
4.1 Tutors are permitted to set their own hourly or session-based rates within the parameters provided by the Platform.
4.2 Progress Learning Centre shall deduct a standard commission of twenty-five percent (25%) from all payments received through the Platform.
4.3 Progress Learning Centre reserves the right to increase or decrease commission rates at its sole discretion, subject to reasonable notice.
4.4 All payments from students or parents must be processed exclusively through the Platform. Tutors are strictly prohibited from accepting direct payments or alternative payment methods outside of Progress Online.
4.5 Any attempt to bypass the Platform’s payment system will result in immediate account termination and potential legal action.
5. Non-Solicitation and Non-Poaching
5.1 You agree not to solicit, contact, or engage with any student, parent, or client introduced via Progress Learning Centre for private tutoring outside the Platform.
5.2 This restriction remains in force during your engagement and for twelve (12) months after termination of your account.
5.3 In the event of a breach, you agree to pay liquidated damages of £1,000 per affected student or the equivalent of twelve (12) months’ commission (whichever is greater).
5.4 Progress Learning Centre reserves the right to pursue further legal remedies, including injunctions and damages for loss of business.
6. Lesson Conduct and Use of Platform
6.1 All lessons must be conducted via the official Progress Online video platform or any tool integrated and approved by Progress Learning Centre.
6.2 Tutors are strictly prohibited from sharing personal contact details (e.g. WhatsApp, phone number, email, or social media) with clients.
6.3 Tutors must maintain professional communication at all times and refrain from any form of misconduct, harassment, or inappropriate behaviour.
7. Intellectual Property
7.1 All materials, branding, systems, software, and intellectual property associated with the Platform remain the property of Progress Learning Centre.
7.2 You may not reproduce, distribute, or modify any materials provided by Progress Learning Centre without written consent.
7.3 Any teaching materials you independently create remain your property, but by uploading them to the Platform, you grant Progress Learning Centre a non-exclusive licence to display and use them for service delivery.
8. Suspension and Termination
8.1 Progress Learning Centre may suspend or terminate your account without notice if you:

9.1 You agree to indemnify and hold harmless Progress Learning Centre, its directors, and affiliates from any claims, losses, or damages arising from your use of the Platform or delivery of lessons.
9.2 Progress Learning Centre shall not be liable for indirect or consequential losses, including lost earnings or reputational damage.
9.3 Progress Learning Centre provides the Platform "as is” and does not guarantee uninterrupted availability.
10. Confidentiality and Data Protection
10.1 You must maintain strict confidentiality regarding student information and company data.
10.2 You agree to comply with all applicable data protection laws (including the UK Data Protection Act 2018 and GDPR).
10.3 Progress Learning Centre may process personal data as necessary to operate the Platform and fulfil its contractual obligations.
11. Amendments
Progress Learning Centre reserves the right to amend these Terms and Conditions at any time. Continued use of the Platform after notice of changes constitutes acceptance of the revised terms.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior representations, discussions, or communications.
